Terms of Service
Effective July 1, 2026
These Terms explain what you can expect from PinoyBiz, and what we expect from you, when you subscribe to our website, Google Business Profile, booking, or automation services. Please read them before signing up.
1. Acceptance of these Terms
These Terms of Service ("Terms") govern any agreement between PinoyBiz ("PinoyBiz", "we", "us") and the business or individual that subscribes to our services (the "Client", "you"). By signing a proposal, paying an invoice, or otherwise instructing us to begin work, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Description of Services
PinoyBiz provides an ongoing, subscription-based service for Philippine small and medium businesses, which may include: design, development and hosting of a custom website; management of a Google Business Profile and related local search optimization; an online appointment and booking engine with GCash and/or card payment collection; and administrative automation such as review responses, drafted email replies and invoicing.
The exact scope of services, deliverables and any setup timeline are set out in the proposal or order form accepted by the Client. We may reasonably adjust the tools, vendors or methods we use to deliver a service without that being treated as a reduction in service, provided the outcome the Client is paying for is not materially diminished.
3. Fees, Payments & Billing
Services are billed monthly in advance, starting from ₱3,499/month depending on the plan and add-ons selected in your proposal. Prices are quoted in Philippine Pesos (₱) exclusive of any applicable taxes unless stated otherwise.
Payment is due on the billing date shown on your invoice. If a payment fails or is not received within seven (7) days of the due date, we may suspend the website, booking engine, or Google Business Profile management until the account is brought current. Repeated non-payment may result in termination under Section 4.
We may revise our pricing from time to time. Any price change will be communicated to the Client at least thirty (30) days in advance and will take effect from the Client's next billing cycle.
4. Contract Term & Cancellation
Unless otherwise agreed in writing, PinoyBiz plans run on an initial twelve (12) month commitment from the service start date. This term reflects the fact that local search ranking and review growth compound over months, not weeks, and a shorter engagement would not give the work time to produce results.
After the initial twelve (12) months, the agreement continues on a month-to-month basis and either party may cancel with thirty (30) days' written notice to hello@pinoybiz.ph.
Cancellation before the end of the initial twelve (12) month term requires settlement of the remaining months' fees, except where termination is for PinoyBiz's uncured material breach of these Terms. We reserve the right to waive this in exceptional cases, at our sole discretion.
On cancellation or termination, we will provide reasonable assistance to hand over or export website content and account access, and access to services will end at the close of the final paid billing period.
5. Client Responsibilities
You are responsible for the accuracy of the business information, pricing, photos, testimonials and other content you supply to us, and for holding any rights needed to use that content. You are also responsible for maintaining the confidentiality of any account credentials issued to you and for promptly notifying us of any suspected unauthorized use.
6. Intellectual Property
Upon full payment of all applicable fees, the Client owns the final website design, copy and branding assets created specifically for the Client under the engagement, excluding any pre-existing PinoyBiz tooling, templates, code libraries, or automation systems, which remain the property of PinoyBiz and are licensed to the Client for the duration of the active subscription only.
PinoyBiz retains the right to reference the Client's business name and publicly visible work as part of its own portfolio and marketing, unless the Client requests otherwise in writing.
7. Acceptable Use
You agree not to use PinoyBiz services to publish or transmit content that is unlawful, fraudulent, defamatory, or that infringes the rights of a third party, and not to use the booking or payment functionality for any purpose other than legitimate transactions with your own customers.
8. Third-Party Services & Payment Processors
Certain features rely on third-party providers, including but not limited to GCash and PayMongo for payment processing, domain registrars, and cloud hosting providers. Your use of those features is also subject to the applicable third party's own terms and privacy practices. PinoyBiz is not responsible for outages, fee changes, or policy changes made by third-party providers, though we will make reasonable efforts to keep the Client's services running smoothly around them.
9. Disclaimers & Limitation of Liability
We work to grow your visibility and bookings, but we do not control search engines, review platforms, or customer behavior, and we cannot guarantee specific rankings, review volumes, traffic, or revenue outcomes.
Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by Philippine law, PinoyBiz's total liability arising out of or relating to the services shall not exceed the total fees paid by the Client to PinoyBiz in the three (3) months immediately preceding the event giving rise to the claim. PinoyBiz shall not be liable for indirect, incidental, or consequential damages, including loss of profits or loss of data.
10. Indemnification
You agree to indemnify and hold PinoyBiz harmless from any claim, loss, or expense (including reasonable legal fees) arising from content you supply, your breach of these Terms, or your violation of applicable law.
11. Termination for Cause
Either party may terminate this agreement immediately upon written notice if the other party materially breaches these Terms and fails to cure that breach within fifteen (15) days of receiving notice describing it.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or in applicable law. Material changes will be notified to active clients by email at least fifteen (15) days before taking effect. Continued use of the services after that date constitutes acceptance of the revised Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising out of or relating to these Terms or the services shall first be addressed through good-faith negotiation between the parties and, failing resolution, shall be subject to the exclusive jurisdiction of the courts of Iloilo City, Philippines.
